Access to and use of the Platform, including the digital experiences, products, and services available through it (collectively, the “Services” and “Products”), are governed by these Terms of Use.

By accessing the Platform, using the Services, or purchasing Products, you agree to be legally bound by these Terms.

If you do not agree with these Terms, you must discontinue use of the Platform.

Terms of Sale and Our Contract
1. By placing an order you are offering to purchase a product on and subject to the following terms and conditions.
2. All orders are subject to availability and confirmation of the order price.
3. Dispatch times may vary according to availability and any guarantees or representations made as to delivery times are subject to any delays resulting from postal delays or force majeure for which we will not be responsible.
4. In order to contract with Aera Gear you must be over 18 years of age and possess a valid credit or debit card issued by a bank acceptable to us.
5. Aera Gear retains the right to refuse any request made by you.
6. When you place an order, you will receive an acknowledgement e-mail confirming receipt of your order. This email will only be an acknowledgement and will not constitute acceptance of your order.
7. A contract between us for the purchase of the goods will not be formed until your payment has been approved by us and we have debited your credit or debit card.
Pricing, Availability, and Product Descriptions
1. Whilst we try and ensure that all details, descriptions and prices which appear on this Website are accurate, errors (including processing errors) may occur.
2. If we discover an error in the price or payment of any goods which you have ordered we will inform you of this as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it.
3. If we are unable to contact you we will treat the order as cancelled.
4. If the order is cancelled and you have already paid for the goods, you will receive a full refund.
5. Where applicable, prices are inclusive of GST.
6. Delivery costs will also be charged; such additional charges are clearly displayed where applicable and included in the ‘Total Cost’.
7. The Service may contain typographical errors or other errors or inaccuracies and may not be complete or current.
8. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice.
9. We reserve the right to refuse to fill any orders that you may place based on information on the Service that may contain errors or inaccuracies, including, without limitation, errors, inaccuracies or out-of-date information regarding pricing, shipping, payment terms, or return policies.
10. In describing the products available to purchase online, Aera Gear attempts to be as accurate as possible.
11. However, Aera Gear does not warrant that product descriptions or other content of any Aera Gear Services are accurate, complete, reliable, current, or error-free.
12. If a product offered by Aera Gear itself is not as described, your sole remedy is to return it in unused condition.
Payment and Promotions
1. Upon receiving your order we carry out a standard pre-authorization check on your payment card to ensure there are sufficient funds to fulfill the transaction.
2. Goods will not be dispatched until this pre-authorization check has been completed.
3. Your card will be debited once the order has been accepted.
4. We may from time to time offer promotional discount codes which may apply in respect of any, or certain specified, purchases made through this website.
5. The conditions of use relating to any discount code will be specified at the time of issue.
Exchanges (Strictly No Returns or Refunds) and Shipping
1. All sales made through Aera Gear are final.
2. Aera Gear strictly does not offer refunds and does not accept returns for refunds under any circumstances.
3. We exclusively offer an exchange policy for eligible items (e.g., defective items or sizing issues), subject to inventory availability.
4. To be eligible for an exchange, the item must be unworn, unwashed, unused, and in its original packaging with all tags attached.
5. Aera Gear does not take title to exchanged items until the item arrives at our fulfilment centre and is successfully inspected.

7. All items purchased from Aera Gear are made pursuant to a shipment contract.
8. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
Prohibited Conduct/ Behaviour
1. You must not use the website in breach of any applicable laws or regulations.
2. You must not use the website to harm, abuse, harass, stalk, threaten or otherwise offend others.
3. You must not interfere with, disrupt, or create an undue burden on the website or any act that interfere with the operation of Aera Gear EC service, or other acts may otherwise interfere with this service.
4. You must not upload, post, transmit or otherwise make available any material that is not your original work, or which may infringe the intellectual property or other rights of another person.
5. You must not upload, post, transmit or otherwise make available any material that is, or could reasonably be expected to be, defamatory, obscene, offensive, threatening, abusive, pornographic, vulgar, profane, indecent or otherwise unlawful, including material that racially or religiously vilifies, incites violence or hatred, or is likely to offend, insult or humiliate others based on race, religion, ethnicity, gender, age, sexual orientation or any physical or mental disability.
6. You must not upload, post, transmit or otherwise make available any material that includes an image or personal information of another person unless you have their consent.
7. You must not upload, post, transmit or otherwise make available any material that you know or suspect, or should reasonably know or suspect, to be false, misleading or deceptive.
8. You must not upload, post, transmit or otherwise make available any material that contains large amounts of untargeted, unwanted or repetitive content.
9. You must not upload, post, transmit or otherwise make available any material that contains financial, legal, medical or other professional advice.
10. You must not resale, re-resale or other acts of purchasing products through this service for the purpose of making profits.
11. You must not take any actions that cause or may cause inconvenience, disadvantage, or damage to other users, third parties, or Aera Gear such as frequent and/or high volume of return without a valid reason.
12. You must not act fraudulently to apply or register multiple membership account with Aera Gear.
Platform Rights Regarding User Conduct
1. If you believe that a user has breached any of the above conditions, please contact us.
2. Aera Gear reserves the right to block or suspend any user of its website, and to modify or remove any material uploaded, posted, transmitted or otherwise made available on the website by any user, without notice.
3. By uploading, transmitting, posting or otherwise making available any material via the website, you grant Aera Gear a non-exclusive, worldwide, royalty-free, perpetual licence to use, reproduce, edit and exploit the material in any form and for any purpose.
4. Aera Gear is not responsible for, and accepts no liability with respect to, any material uploaded, posted, transmitted or otherwise made available on the website by any person other than Aera Gear.
5. Aera Gear does not endorse any opinion, advice or statement made by any person other than Aera Gear.
6. In the event that your act falls under any of the Prohibited Conduct/Behaviour set forth in Section 8, Aera Gear may suspend the provision of this service to you, restrict your access to the website or cancel your membership account at its sole discretion without giving any reason or prior notice to you.
7. If any disputes regarding the suspension, restriction or cancellation, Aera Gear has the right to make the final decision.
Membership Registration
1. If you use any Aera Gear Services, you are responsible for maintaining the confidentiality of your account and password.
2. You agree to accept responsibility for all activities that occur under your account or password.
3. The membership application may not be approved if you have had your membership cancelled or suspended by Aera Gear in the past.
4. Aera Gear reserves the right to disapprove any membership registration without giving any reason.
User Content and Feedback
1. Some parts of the Services may allow you to post photos, videos, reviews, and text (“User Content”).
2. You retain all rights in and to your User Content.
3. By submitting User Content, you grant Aera Gear and its affiliates a non-exclusive, perpetual, irrevocable, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content for any commercial or non-commercial purpose, in all media formats.
4. We typically do not review unsolicited suggestions, ideas, feedback, or other materials regarding Aera Gear or our Services (“Feedback”).
5. However, any Feedback you send us is provided on a non-confidential basis, and you grant Aera Gear a license to use such Feedback for any purpose, including developing, manufacturing, and marketing products, without compensation or acknowledgement to you.
Disclaimer and Limitation of Liability
1. By accessing our website, you assume all risks associated with its use, including but not limited to the risk that your computer, software or data may be damaged by any virus transmitted by this website or by any Third Party Content or Third Party Website.
2. To the extent permitted by law, all warranties, conditions and claims (whether express or implied) arising out of or in any way connected with this website are hereby excluded.
3. To the fullest extent permitted by applicable law, neither Aera Gear nor its affiliates will be liable to you under any theory of liability for any direct, special, incidental, indirect, exemplary, or consequential damages, including without limitation for any lost profits or lost data, arising out of or relating to these Terms, the Products, or the Services.
4. If Aera Gear is found to be liable to you for any damage or loss, the maximum aggregate liability of Aera Gear shall not exceed the lesser of (i) SGD $150.00, ог (ii) the amount paid by you to Aera Gear for the applicable Products giving rise to such liability.
Indemnification and Release
1. You agree to indemnify Aera Gear and each of the officers, employees, agents, contractors, suppliers and licensors (collectively Affiliates) of Aera Gear in respect of any liability, loss or damages (including all legal and other costs on a full indemnity basis) suffered or incurred by them arising (in whole or part) out of the breach of or failure to comply with any of these Terms of Use, or any other default or wrongful conduct in relation to the subject matter of these Terms of Use, on the part of you or any of your Affiliates.
2. You agree to indemnify, defend, and hold harmless Aera Gear Private Limited and each of its officers, directors, employees, agents, contractors, suppliers, and licensors from and against all claims, losses, liabilities, expenses, damages, and costs (including attorneys’ fees) arising from or relating in any way to your User Content, your misuse of the Services, or your violation of these Terms or any applicable law.
3. By accessing our website, you agree to indemnify Aera Gear for any loss, damage, costs or expenses whatsoever suffered by any person or entity arising out of or in any way connected with your access to this website.
4. To the fullest extent permitted by applicable law, you hereby fully and forever release and discharge Aera Gear from any and all claims or causes of action you may have for damages arising from or relating to your use of the Services or Products.
Copyright Infringement
1. Aera Gear has adopted a policy of terminating, in appropriate circumstances, the accounts of users found to infringe the copyright of others.
2. If you believe that any Content on the Services infringes a copyright that you own or control, please provide us with written notification to our support or legal team outlining the claimed infringement.
Miscellaneous
1. Export Restrictions: You may not use or otherwise export or re-export the Products or Services except as authorized by the export control laws of the Republic of Singapore and any other government having jurisdiction.
